End User License Agreement

This End User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between you (“User”, “Licensee”) and “Alt-Invest” LLP, BIN 230540016487, Republic of Kazakhstan (“Company”, “Licensor”), governing the use of the software product Alt-Invest X, including any updates, templates, add-ins, standalone applications, and accompanying documentation (collectively, the “Software”).

By installing, copying, accessing, or using the Software, you confirm that you have read, understood, and agreed to be bound by this Agreement.If you do not agree with this Agreement, you must not install or use the Software.

• Software – the Alt-Invest X program, including Excel add-ins, standalone applications, templates, configuration tools, updates, and documentation.
• License – a limited, non-exclusive, non-transferable right to use the Software under the terms of this Agreement.
• Activation – authorization of the Software for use on a specific computer.
• License Term – the period for which the License is granted.
• Computer – a single physical or virtual device on which the Software is installed and activated.

Subject to payment of applicable fees and compliance with this Agreement, the Company grants the User a non-exclusive, non-transferable, revocable license to install and use the Software:

• solely for internal business or professional purposes;
• only on the number of Computers specified in the purchased License;
• only during the applicable License Term.

All rights not expressly granted are reserved by the Company.

Depending on the installed version (e.g., Free, Basic, Pro), the Software may include functional, technical, or quantitative limitations, including but not limited to:

• maximum planning horizon;
• number of model elements;
• available templates or configurator features.

Details of limitations are described on the Website or in the product documentation and form an integral part of this Agreement.

4.1. The Software may require activation via the Company’s license server.

4.2. Activation is tied to a composite computer fingerprint, combining hardware-based and operating system-based parameters.

4.3. The User may be required to reactivate the Software after significant system changes.

4.4. Offline activation may be available for certain License types.

The User shall not, and shall not permit others to:

• copy the Software except as expressly permitted;
• sublicense, lease, rent, sell, assign, or transfer the License;
• reverse engineer, decompile, disassemble, or attempt to derive source code;
• remove or alter copyright, trademark, or proprietary notices;
• use the Software to create competing products or services;
• use the Software in violation of applicable laws.

The Software is protected by copyright and other intellectual property laws.

All intellectual property rights in the Software belong exclusively to the Company.

This Agreement does not transfer any ownership rights to the User.

7.1. Financial models, reports, and data created by the User using the Software belong to the User.

7.2. The Company does not claim ownership of User data or financial models.

7.3. The User is solely responsible for the accuracy, completeness, and compliance of models produced using the Software.

8.1. The Company may provide updates, bug fixes, or improvements during the License Term.

8.2. Support availability and scope depend on the purchased License or support plan.

8.3. The Company is not obligated to provide updates or support beyond the License Term.

The Software is provided “AS IS” and “AS AVAILABLE”.

To the maximum extent permitted by law, the Company disclaims all warranties, including but not limited to:

• fitness for a particular purpose;
• merchantability;
• accuracy of financial calculations;
• uninterrupted or error-free operation.

The Software does not constitute financial, investment, legal, or accounting advice.

To the maximum extent permitted by law:

• The Company shall not be liable for indirect, incidental, special, or consequential damages;
• The Company’s total liability under this Agreement shall not exceed the amount actually paid by the User for the License during the preceding 12 months.

11.1. This Agreement is effective upon first use of the Software and remains in effect for the License Term.

11.2. The Company may terminate the License immediately if the User breaches this Agreement.

11.3. Upon termination, the User must cease all use of the Software and delete all copies.

The User is responsible for compliance with all applicable laws, regulations, and professional standards related to the use of the Software and the results produced with it.

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan.

All disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the Republic of Kazakhstan.

This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior or contemporaneous agreements, representations, or understandings.
